Agreement between User and Travel Advisor Resource Center (TARC)

Welcome to Travel Advisor Resource Center (TARC)!

The www.traveladvisorresourcecenter.com, www.travelsupplierdirectory.com, www.travelpartnerdirectory.com, and www.travelpartnerblog.com websites (the “Site" or "Sites") are comprised of various web pages, resources, and content hosted by TARC Technologies LLC, DBA Travel Advisor Resource Center (TARC) (“Travel Advisor Resource Center”). Travel Advisor Resource Center is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Your use of Travel Advisor Resource Center, its affiliate partners, and its Sites constitutes your agreement to all such Terms. Please read these terms carefully and keep a copy of them for your reference.

IF YOU ARE DISSATISFIED WITH ANY PORTION OF OUR SITES, OR WITH ANY OF THESE TERMS OF USE, OR WITH OUR CONTENT OR SERVICES, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING OUR SITES.

Definitions

Users: “User” or “Users” refer to individuals or entities who access, use browse, cite, scrape, copy, or utilize our Sites in any way. Users can include visitors, registered members, customers, or any other person who interacts with our Site’s content, features, or services.
Affiliate Partners: “Affiliates” refers to entities that are related to or connected with our Sites through a partnership, collaboration, or just by being presented to the Users through access of our Sites. Affiliates can include parent companies, subsidiary companies, partner organizations, or any other entities that may have a business relationship or association with Travel Advisor Resource Center. These Affiliates may be involved in providing services, products, or content related to our Sites.
Content and Service: “Content” or “Service” refers to any material, resources, information, data, text, images, videos, audio files, software, documents, or other media that is made available on our Sites. This includes but is not limited to articles, blog posts, user-generated content, comments, reviews, resources, product descriptions, graphics, logos, and any other material that can be accessed or viewed on our Sites. It refers to the functionalities, features, and activities provided by our Sites to our Users. It may include but is not limited to:
1. Access to and use of the content, information, and resources.
2. Interactive features such as forums, chat rooms, or messaging systems.
3. E-commerce services, including the sale of products or services.
4. Subscription-based services, such as memberships or access to exclusive content.
5. Communication channels, such as email newsletters or notifications.
6. User account management, including registration, login, and profile features.
7. Support services, such as customer assistance or technical support.

Terms

Travel Advisor Resource Center provides information through multiple Sites, including e-commerce Sites which may also contain classified ads, forums, directories, with additional services that may be provided through live instruction, video-based series, pre-recorded seminars, e-mail services or communication, and/or affiliate resources.

Travel Advisor Resource Center provides resources, education, and collaboration between veteran professionals and those who are new to the travel industry. Each of our resources may help users:

become a more successful Travel Advisor and be recognized for your expertise,
identify niche markets and learn how to become a master at selling them,
connect with industry professionals and supplier contacts to expand your product knowledge,
learn business development and marketing techniques to grow your travel business.

Many of our resources also include worldwide accessibility, self-paced learning modules, and/or professional support. All of our Sites’ intellectual property and resource connections were developed through years of experience, collaboration, and education, and belong solely to Travel Advisor Resource Center and its affiliates. While some of the content utilized may have come from other sources, they are cited properly and given appropriate credit, but the collaboration of these resources remains the intellectual property and copyright of Travel Advisor Resource Center. You may not share, sell, disseminate, or redistribute these resources in any way, including the Recognized Travel Advisor (RTA) program and it's contents thereof.

By accessing and using our Sites in any way, you acknowledge and agree to abide by these Terms & Conditions, Terms of Use, and Terms of Service. It is your responsibility to comply with all applicable laws and regulations, including any local laws that may apply. If you disagree with any of these terms, you are strictly prohibited from accessing or using our Sites. The Content available on our Sites are protected by copyright and trademark laws. Furthermore, you expressly declare and guarantee that you will personally not, nor assist, encourage, or enable others to utilize the website for the promotion of any business, commercial venture, or event, unless specifically authorized to do so by the Travel Advisor Resource Center team.

We Are Not Sellers of Travel

Travel Advisor Resource Center does not provide, own or control any of the travel services that Users may access through our Sites, such as flights, accommodations, rental cars, packages, or travel insurance (the "Travel Services"). The Travel Services are owned, controlled or made available by third parties (the "Travel Providers") either directly (e.g., airline) or as an agent (e.g., online travel agency). The Travel Providers are responsible for their Travel Services. The Travel Provider's terms and privacy policies apply to your booking so you must agree to and understand those terms. Furthermore, the terms of the actual travel provider or affiliate (airline, hotel, tour operator, etc.) apply to your trip or business, so Users must also agree to and understand those terms. User’s interaction with any Travel Provider or affiliate accessed through our Sites comes at User’s own risk; Travel Advisor Resource Center does not bear any responsibility should anything go wrong with your booking, your purchased products, or your travels.

The display on our Sites of a Travel Supplier, Travel Service, or Travel Provider does not-in any way-imply, suggest, or constitute a recommendation by Travel Advisor Resource Center of that Travel Service, Travel Supplier, or Travel Provider, or any approval of Travel Advisor Resource Center by such Travel Provider, Travel Supplier, or any affiliation between such Travel Provider and Travel Advisor Resource Center.

Our Sites include links to websites that are not owned or operated by Travel Advisor Resource Center. These links are provided as a convenience and do not constitute Travel Advisor Resource Center’s endorsement of the linked-to website or its owner. Please be aware when you leave the Site because Travel Advisor Resource Center’s Terms and Privacy Policy will no longer apply to your activities. Third-party websites will likely have their own terms of use and privacy policy, which Travel Advisor Resource Center has no control over.

Travel Advisor Resource Center hosts content, including prices, made available by or obtained from affiliates, Travel Suppliers, and Travel Providers. Travel Advisor Resource Center is in no way responsible for the accuracy, timeliness, or completeness of such content. Since Travel Advisor Resource Center has no control over the Travel Products and Travel Services and does not verify the content uploaded by the affiliate or Travel Providers, it is not possible for us to guarantee the prices or content displayed on our Sites. Prices change constantly and additional charges may apply to those purchases, so Users should always check whether the price asked for a Travel Service, or product is the one you expected. Some Travel Products may also be sold in another currency than the one preset or chosen by User for the display of the search results. Our currency conversion is for informational purposes only and should not be relied upon as accurate or real-time; actual rates may vary, and your payment provider (e.g., your credit card company) may charge conversion fees and apply another date's currency rate.

Privacy

Your use of our Sites is subject to Travel Advisor Resource Center’s Privacy Policy. Please review our Privacy Policy, which also governs our Sites and informs users of our data collection practices. You represent that you have read and understood our Privacy Policy. Should have you have any questions, please reach out to Travel Advisor Resource Center immediately.

Electronic Communications

Visiting our Sites or sending emails to Travel Advisor Resource Center constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email, and on our Sites, satisfy any legal requirement that such communications be in writing.

Your Account

If you use our Sites, you are responsible for maintaining the confidentiality of your account and password, and for restricting access to your computer or personal device, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account, certifications, or resources to any other person or entity without the express written consent of Travel Advisor Resource Center. You acknowledge that Travel Advisor Resource Center is not responsible for third party access to your account that results from theft or misappropriation of your account. Travel Advisor Resource Center and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion.

Use License

You are granted permission from Travel Advisor Resource Center to temporarily download a copy of the Content or Service materials from our Site solely for your personal, non-commercial, viewing purposes. If downloading templates, you may customize them as needed for your personal use and for that of your travel agency business. However, you may not share, sell, disseminate, or redistribute the Content, Services, or resources in any way. This licensure does not transfer ownership of the Content or Services provided. It is important to note the following restrictions:

You are not authorized to modify, replicate, or duplicate the Content, Services, or resources provided.
Commercial use of the Content or Services, especially in lieu of payment, is strictly prohibited.
Any attempt to disseminate, decompile, or reverse engineer any Content and Services contained on or within our Sites and/or resources is forbidden.
Removing any copyright or other proprietary notations from the Content is not allowed.
Transferring the Content to another individual or reproducing the Content on any other server, unless for your own personal use, is prohibited.

If you breach any of these restrictions, your access and licensure to the Content and Services provided will be terminated immediately and may be terminated by Travel Advisor Resource Center at any time. Upon termination or the expiration of this license (expiration date), you are required to destroy any downloaded Content, Services, or resources in your possession, whether in electronic or printed format, unless given express written consent from Travel Advisor Resource Center.

Eligibility for Use and Fees

Travel Advisor Resource Center reserves certain sections of the Content and Services related to our Sites exclusively for individuals and corporations who are noted as professional sellers, resellers, wholesalers, tour operators, affiliates, or purchasers of travel-related items, also known as Sellers of Travel. While Travel Advisor Resource Center endeavors to restrict access to these sections of our Content and Service to such individuals or corporations, it should be noted that this does not establish any right to take legal action against Travel Advisor Resource for its failure to thoroughly screen potential users or prevent the use of our Sites, our Content, or our Services by individuals who do not meet the criteria listed above. You may not access our Sites if you are a competitor of ours or if we have previously banned you from our Sites, closed your account, or terminated your subscription(s).

Use of our Travel Supplier Directory is strictly prohibited to Sellers of Travel and travel-industry supplier partners. If you are not a Seller of Travel (Travel Agent, Travel Advisor, or professional travel retailer/wholesaler) or you are not a travel supplier partner, you are not to register for an account. Information provided on the Travel Supplier Directory about a specific supplier partner should remain confidential to Sellers of Travel and travel-industry supplier partners.

Our Travel Partner Directory or Travel Advisor Directory is to be accessed by the general public to find Sellers of Travel (Travel Agents or Travel Advisors). Sellers of Travel should be the only users on the Directory. Individual profiles may be shared for external marketing efforts, but Travel Advisor Resource Center is not responsible for or able to manage where, when, or how the profile is shared. Travel Advisor Resource Center does charge a fee for travel advisor profiles. This fee is non-refundable and non-transferable. The fee is fixed and stated as listed on the Directory at the time of purchase. The fee remains locked in as long as the subscription account is active and current. If the subscription account is cancelled, then the account is subject to current fees and pricing terms. All payments are paid upfront at the beginning of the monthly or annual billing cycle. Payments are automatically deducted from the account on file each billing cycle, unless the User cancels the account or the account is terminated by Travel Advisor Resource Center.

If applicable to the current structure of the Sites, should User engage in any subscription services, User hereby agrees and understands that User is to remain a subscribing member for the entirety of the term of the initial subscription, which shall be specified when registering for any Services or products on a case-by-case basis. By registering for a subscription Service of any Services or products, User hereby commits to pay the applicable fee pay cycle, as applicable, during the entire term of the specific product or service. Any relevant subscription fees shall be due at the start of each financial billing period, as determined by the start date of the initial subscription. Any individual Services or products made available through the Sites may not be substituted or otherwise interchangeable and shall remain the same through the entire term. A User will only be entitled to cancel any subscription after obtaining express, prior written consent by Travel Advisor Resource Center, granted at Travel Advisor Resource Center’s sole discretion. Should User register for a trial subscription, User hereby agrees and understands that at the conclusion of the trial subscription term, unless User otherwise terminates the trial subscription prior to the end of the term, User will automatically be enrolled in a traditional subscription program, which will require User to begin payment for the subscription services where applicable.

Our Travel Partner Blog was created to provide answers to many different questions. The blogs are written by travel industry professionals and are available to the public. Content provided within the blog is proprietary to Travel Advisor Resource Center, but the blogs can be shared publicly as well.

Billing

In the event that a payment is due for a subscription service, but the form of payment is no longer valid or active, Travel Advisor Resource Center may attempt to contact User to update account information. If payment information is not updated, the account will automatically cancel on the expiration date based on the payment terms (at the end of the monthly term, or at the end of the annual term) if payment is not received in a timely manner.

Children Under Thirteen

Travel Advisor Resource Center does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you should not be a User on any of our Sites. To create a User account on Sites, You must be eighteen (18) years of age or older and shall provide Travel Advisor Resource Center with an active email address or unique login information to activate your User account on Sites.

Cancellation/Refund Policy

All sales are final. No refunds will be given after purchase of any resources and programs provided by Travel Advisor Resource Center through any of our Sites. You may voluntarily cancel your account or subscription service(s) at any time as directed by the individual resource/course/product subscription agreement; however, no refunds or prorations will be provided. Product Denial

Travel Advisor Resource Center is entitled, in our sole discretion and without notice, to deny any User’s submissions of any products, Content, or Services.

Content

Please note that all content, containing and including advertisements, postings, ideas, countenances, photos, messages, text, files, images, videos, sounds, or any other materials or services (“Content”) positioned on, communicated through, or connected from our Sites, are the sole responsibility of the person from whom such Content originated. This includes Supplier-related Content, User-generated Content, and more. Specifically, you as the User bear full responsibility for each individual item of Content that you post, email, or otherwise make available through our Sites. Moreover, if you request Travel Advisor Resource Center’s assistance in posting content or imply consent for Travel Advisor Resource Center to post content on your behalf, whether through written or oral means, or if you fail to notify Travel Advisor Resource Center regarding the removal of content, you assume equal responsibility for said content. By posting any information or picture of yourself on our Sites, you waive all claims against Travel Advisor Resource Center, including any claims related to the right of publicity for your image, Content, or likeness worldwide. You acknowledge that Travel Advisor Resource Center does not exercise control over personal Content made available through our Sites and that, by using our Sites, you may come across Content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. When you post User-generated or Supplier-generated Content on our Sites, you grant Travel Advisor Resource Center an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), and distribute such Content for any purpose related to the service or its promotion. This license also includes the right to create derivative works from your Content, incorporate it into other works, and grant sublicenses of the foregoing. Additionally, Travel Advisor Resource Center may provide links to other websites, which are entirely independent of Travel Advisor Resource Center. Travel Advisor Resource Center makes no representation or warranty regarding the accuracy, completeness, or authenticity of the information contained on any external site. Following links to other websites is done at your own risk. You agree to evaluate and assume all risks associated with the use of any Content and acknowledge that you may not rely on such Content. Under no circumstances will Travel Advisor Resource Center be liable for any Content or any loss or damage incurred as a result of using any Content posted, emailed, or otherwise made available through our Sites. Travel Advisor Resource Center does not pre-screen or approve Content; however, Travel Advisor Resource Center reserves the right (but not the obligation), at its sole discretion, to refuse, delete, or relocate any Content available through our Sites that violates the Terms & Conditions, Terms of Use, or Terms of Service, or for any other reason, as determined by Travel Advisor Resource Center.

Links to Third Party Sites/Third Party Services

The Sites found through Travel Advisor Resource Center may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of Travel Advisor Resource Center and Travel Advisor Resource Center is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updated to a Linked Site. Travel Advisor Resource Center is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Travel Advisor Resource Center of the site or any association with its operators. While Travel Advisor Resource Center has used due diligence to ensure that the information provided to you through and by any of the resources you may utilize is the most up-to-date and accurate information available, Travel Advisor Resource Center is not responsible for any errors contained in or on the Sites or resources you may access. Information contained herein and through our Sites is subject to change and is updated frequently.

Certain services made available via Travel Advisor Resource Center are delivered by third-party sites and organizations. These may include but are not limited to other web sites, directories, servers, networks, systems, information and databases, applications, software, programs, products and services, and the Internet as a whole. By using any product, service, or functionality originating from our Sites’ domains, you hereby acknowledge and consent that Travel Advisor Resource Center may share such information and data with any third-party with whom Travel Advisor Resource Center has a contractual relationship to provide the requested product, service or functionality on behalf of Travel Advisor Resource Center users and customers. Please note that Travel Advisor Resource Center does not endorse or recommend any specific resource or third-party organization and/or individual. You agree that Travel Advisor Resource Center shall not be responsible or liable for any loss or damage of any sort incurred as the result of any dealings between Users and our Sites. If there is a dispute between Users of our Sites, or between users and any third party, you understand and agree that Travel Advisor Resource Center is under no obligation to become involved. In the event that you have a dispute with one or more other users, you hereby forever release Travel Advisor Resource Center, its officers, employees, agents, contractors, and successors in rights from claims, demands, and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or our Sites. Each agency, agent, supplier, and/or user must do their own research and make a decision based on their own findings and due diligence. Travel Advisor Resource Center does not own or manage many of the resources provided on our Sites, so please look into them before signing up or purchasing them. Keep in mind that you, the User, are accessing, using, and/or purchasing these resources at your own risk.

No Unlawful or Prohibited Use/Intellectual Property

You are granted a non-exclusive, non-transferable, revocable license to access use of our Sites strictly in accordance with these terms of use. As a condition of your use of our Sites, you warrant to Travel Advisor Resource Center that you will not use our Sites for any purpose that is unlawful or prohibited by these Terms. You may not use our Sites in any manner which could damage, disable, overburden, or impair our Sites or interfere with any other party’s use and enjoyment of our Sites. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through our Sites.

All Content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on our Sites, is the property of Travel Advisor Resource Center or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on our Sites. Travel Advisor Resource Center content is not for resale. Your use of our Sites does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use, and will make no other use of the content without the express written permission of Travel Advisor Resource Center and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of Travel Advisor Resource Center or our Sites, or our licensors except as expressly authorized by these Terms.

International Users

Travel Advisor Resource Center’s network extends worldwide, and Travel Advisor Resource Center may welcome visitors to our Sites from across the world. Travel Advisor Resource Center’s operations are, however, located in the United States and its policies and procedures based on United States law. If you are located outside of the United States, you consent to the transfer, storage and processing of your information, such as registration information or email addresses, in the United States. Additionally, if you are accessing the Site from a country embargoed by the United States, you agree to not engage in any commercial activities, including financial transactions, using or through the Site. The Service and our Sites are controlled, operated, and administered by Travel Advisor Resource Center from our offices within the United States. If you access the Service, our Sites, or our affiliates from a location outside of the USA, you are responsible for compliance with all local laws. You agree that you will not use the Travel Advisor Resource Center content accessed through our Sites, www.traveladvisorresourcecenter.com, or any affiliates with Travel Advisor Resource Center’s content in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

Anti-Spam Policy

At Travel Advisor Resource Center, we have a strict policy against the sending of unsolicited email advertisements or engaging in any unauthorized use of our computer systems by third-parties.

Third-Party Social Sign On

Upon using or otherwise accessing our Sites or related software applications, services provided by third parties may be made available to User (“Third-Party Platforms”). So, as to make User login process easier, Third-Party Platforms are supported by Travel Advisor Resource Center, including, but not limited to, Google, Facebook, Instagram, Snapchat, Pinterest, TikTok and MeWe. Using any Third-Party Platforms as a means to login to User Account on our Sites shall be subject to the conditions, terms, and policies of the applicable Third-Party Platform.

Professional Conduct, Appropriate Behavior & Acceptable Content

As a User of our Sites, you are expected to maintain a professional and respectful environment. This same conduct is expected in any forums, directories, resources, blogs, email communications, etc., owned or moderated by Travel Advisor Resource Center. In order to do so, you agree to adhere to the following guidelines:

Prohibited Content: Users are strictly prohibited from posting any content or information that is unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene, or otherwise objectionable. This includes content containing discriminatory slurs based on sexual, ethnic, racial, or any other factors. We do not tolerate content lacking relevance, constructive value, or containing explicit or abhorrent content. Posting of proprietary information, trade secrets, or confidential information is strictly prohibited.
Commercial Communication: Users are not allowed to post any form of unsolicited commercial communication, such as advertisements, solicitations, chain letters, pyramid schemes, or investment opportunities, unless explicitly permitted by Travel Advisor Resource Center. Engaging in spamming or flooding activities is strictly prohibited.
Monitoring and Content Removal: While Travel Advisor Resource Center may, at its discretion, monitor the Content posted on our Sites, we do not assume any obligation to do so. We reserve the right to delete or remove any portion or entirety of posts that violate the above rules, including unrelated messages or topics, advertisements, recruitment messages, or any other content deemed inappropriate by Travel Advisor Resource Center. If you believe a message violates our policies, please contact us immediately to request a review for editing or removal.
Disclosure of Content: Travel Advisor Resource Center reserves the right to disclose any materials and the circumstances surrounding their transmission to third parties if it is necessary for the proper operation of our site, to protect ourselves, our partners, and our visitors, or to comply with legal obligations or governmental requests.
Challenging Unacceptable Content: If you believe a review has been wrongly categorized as unacceptable content, please reach out to Travel Advisor Resource Center promptly. We will investigate the matter and take appropriate action.
Obtain explicit, written, permission before employing automated means to download data from our Sites.
Avoid repetitive or irrelevant posting that burdens our Sites or negatively impacts user experience.
Respect the preferences of individuals who have indicated not to be contacted.
Refrain from engaging in stalking harassment, or any form of harmful behavior.
Do not collect personal data about other Users for unauthorized or unlawful purposes.
Refrain from posting the same information or resources in multiple categories or forums.
Do not attempt to gain unauthorized access to our Sites or disrupt the performance of our service.
Abstain from using automated posting devices or any form of computer program that bypasses manual author input.
To ensure responsible Content sharing, ensure that your posted content:
1. Complies with all applicable laws and regulations, both locally and internationally. This includes refraining from sharing any content that may be unlawful, harmful, threatening, abusive, harassing, bullying, defamatory, libelous, invasive of another person’s privacy, or in any way detrimental to minors.
2. Does not contain explicit sexual content or promote pornography. Respect the dignity and rights of individuals or groups based on religion, gender, sexual orientation, race, ethnicity, age, or disability. Avoid any form of content that harasses, degrades, intimidates, or expresses hatred towards others on the basis of these characteristics.
3. Respects the intellectual property rights of others and refrains from unauthorized use or distribution.
4. Does not engage in the advertisement of illegal services or the sale of prohibited items.
5. Does not disrupt the normal flow of communication or impair the functioning of our Sites.
6. Avoid suggesting discriminatory preferences based on race, color, national origin, religion, sex, familial status, or handicap. It is important to comply with federal, state, and local laws that prohibit discrimination and to promote inclusivity and equal treatment.
7. Does not misrepresent your identity or falsely claim affiliation with any person, business, organization, or entity.
8. Ensure that your Content does not violate federal, state, or local equal employment opportunity laws. Specifically, refrain from indicating preferences or requirements for employment based on race, color, religion, sex, national origin, age, or disability, unless otherwise mandated by law, regulation, executive order, or government contract.
9. Avoids fraudulent, deceptive, or misleading practices or any form of misinformation. Avoids the use of misleading email addresses or forged headers.

Indemnification

You agree to indemnify, defend and hold harmless Travel Advisor Resource Center, its officers, directors, employees, agents, contractors, and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney’s fees) relating to or arising out of your use of or inability to use our Sites or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Travel Advisor Resource Center reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Travel Advisor Resource Center in asserting any available defenses.

Non-Disclosure Agreement.

User hereby understands and agrees, that by using our Sites or related Services, Travel Advisor Resource Center may disclose confidential or proprietary information to User in certain circumstances. Such confidential information may include, but is not limited to, oral or written contracts, promotional methods, trade secrets, business policies, business methods, reports, memoranda, records, source code, computer retained information, technical information, operational information, notes, methodologies, systems, business information, notes, financial information, or any other information regarding products or Services (“Confidential Information”). By continuing to use our Sites, you hereby agree to maintain the confidence of any such Confidential Information and that you shall not disclose any such information at any point during the term of this Agreement and in perpetuity.

Liability Disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, CONTENT, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH OUR SITES ARE PROVIDED “AS IS”, AND MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. TARC TECHNOLOGIES LLC, TRAVEL ADVISOR RESOURCE CENTER, AND/OR ITS AFFILIATES, SUPPLIERS, OR PARTNERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN OUR SITES OR TO THE CONTENT AT ANY TIME.

TARC TECHNOLOGIES LLC, TRAVEL ADVISOR RESOURCE CENTER, AND/OR ITS AFFILIATES, SUPPLIERS, OR PARTNERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, CONTENT, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON OUR SITES FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. TARC TECHNOLOGIES LLC, TRAVEL ADVISOR RESOURCE CENTER, AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TARC TECHNOLOGIES LLC, TRAVEL ADVISOR RESOURCE CENTER, ITS OFFICERS, EMPLOYEES, CONTRACTORS, MANAGERS, AND/OR ITS AFFILIATES, SUPPLIERS, OR PARTNERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF OUR SITES, WITH THE DELAY OR INABILITY TO USE OUR SITES OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH OUR SITES, OR OTHERWISE ARISING OUT OF THE USE OF OUR SITES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF TARC TECHNOLOGIES LLC, TRAVEL ADVISOR RESOURCE CENTER, OR ANY OF ITS AFFILIATES, SUPPLIERS, OR PARTNERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOWT HE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF OUR SITES, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING OUR SITES.

TRAVEL ADVISOR RESOURCE CENTER IS NOT AN ATTORNEY OR A CERTIFIED PUBLIC ACCOUNTANT (CPA) AND HIGHLY RECOMMENDS ALL CUSTOMERS CONSULT AN ATTORNEY AND/OR CPA FOR PROFESSIONAL LEGAL AND/OR ACCOUNTING ADVICE.

Termination/Access Restriction

You agree that Travel Advisor Resource Center, in its sole discretion, has the right (but not the obligation) to delete, deactivate, or terminate account or subscription(s), block your email or IP address, or otherwise disconnect your access to our Sites and the related services or any portion thereof at any time, immediately, and without notice. You may also voluntarily terminate or cancel your account or subscription service(s) at any time as directed by the individual resource/course/product subscription agreement which will take effect immediately. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Florida and you hereby consent to the exclusive jurisdiction and venue of courts in Florida in all disputes arising out of or relating to the use of our Sites. Use of our Sites is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section. Further, you agree not to attempt to use our Sites after said termination. All Terms pertaining to termination, Content, confidential information, and intellectual property herein contained within this agreement shall survive termination of the Terms & Conditions, Terms of Use, or Terms or Service.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Travel Advisor Resource Center as a result of this agreement or use of our Sites. Travel Advisor Resource Center’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Travel Advisor Resource Center’s right to comply with governmental, court and law enforcement requests or requirements relating to your sue of our Sites or information provided or gathered by Travel Advisor Resource Center with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liabilities limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the User and Travel Advisor Resource Center with respect to our Sites or resources and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the User and Travel Advisor Resource Center with respect to our Sites. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

Terms of Service for all Sites

Welcome to the Travel Advisor Resource Center (TARC) (referred to as "TARC"). By accessing and using our Sites, resources, and programs (collectively referred to as the "Services"), you agree to be bound by the following terms and conditions:

Assumption of Risk:
1. Your use of the Services is entirely at your own risk. TARC does not provide any warranties, whether expressed or implied, regarding:
  1. The functionality and availability of the Services.
  2. The performance or reliability of any travel professional (travel agent/advisor) or service provider (supplier partner).
  3. The quality or accuracy of any services provided by travel professionals (travel agent/advisor) or service providers (supplier partner).
2. You acknowledge and agree that TARC shall not be held liable for:
  1. Any issues or dissatisfaction arising from your use of the Services.
  2. Any interactions or engagements with travel professionals (travel agent/advisor) or service providers (supplier partner).
  3. Any actions, negligence, breaches of contract, or misconduct by yourself or the travel professionals (travel agent/advisor) or service providers (supplier partner).
  4. Any other matters related to the Services.
Non-Service Provider (travelers/consumers/clients):
1. TARC does not directly provide any travel services or act as a party to any agreements or contracts between users of the Services.
2. Any arrangements, contracts, or interactions between Non-Service Providers (travelers/consumers/clients) and travel professionals (travel agents/advisors) or service providers (supplier partners) are solely the responsibility of the parties involved. TARC does not assume any liability or responsibility for such interactions.
3. TARC does not recommend or endorse any specific travel professional (travel agent/advisor) or service provider (supplier partner).
Travel Professionals & Service Providers:
1. TARC does not directly endorse or recommend a specific travel professional or service provider, or act as a party to any agreements or contracts between users of the Services.
2. Any arrangements, contracts, or interactions between Non-Service Providers (travelers/consumers/clients) and travel professionals (travel agents/advisors) or service providers (supplier partners) are solely the responsibility of the parties involved. TARC does not assume any liability or responsibility for such interactions.
Severability: In the event that any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Limitation of Liability: TARC, its officers, directors, employees, and affiliates shall not be liable to the Non-Service Provider (traveler/consumer/client), Travel Professional (travel agent/advisor), Service Provider (supplier partner) or any third party for any direct, indirect, incidental, consequential, special, or exemplary damages arising from or in connection with:
1. Your use of our Services.
2. Any engagements or interactions with Non-Service Providers (travelers/consumers/clients), travel professionals (travel agents/advisors), or service providers (supplier partners).
3. Any actions, negligence, breaches of contract, or misconduct by yourself, the Non-Service Provider, travel professionals, or service providers.
4. Any other matters related to our Services. In no event shall TARC’s total liability to you exceed the amount you paid, if any, for using our Services.
Modifications to Terms: TARC reserves the right to modify or update these terms and conditions at any time. We will notify users of any material changes to the Terms of Service. Continued use of the Services after such modifications shall constitute your acceptance of the updated terms.
Affiliate Link Disclosure: Please be aware that some of the links on our Sites are affiliate links which help support the site and our members by earning a small commission if you click those links and make a purchase on the retailer’s website.

Alternative Dispute Resolution

Travel Advisor Resource Center desires to maintain friendly relationships with its clients (Traveler, agents, sellers, buyers, etc.). In order to provide for a mutually beneficial relationship, Travel Advisor Resource Center has established an alternative mediation program in the event of a misunderstanding or dispute between Travel Advisor Resource Center and its clients: If a dispute arises out of or relates to this contract, or breach thereof, and if the dispute cannot be settled through negotiation, the parties agree first to try in good faith to settle the dispute by mediation administered by the World Travel Dispute Center under the applicable guidelines as established by International Forum for Travel and Tourism (IFTTA) before resorting to arbitration, litigation, or some other dispute resolution procedure. If mediation is not successful, the parties will settle by binding arbitration administered by the World Travel Dispute Center under the applicable guidelines as established by IFTTA. Judgment on the award rendered by the arbitrator(s), or written agreements of the parties, may be entered in any court having jurisdiction thereof or written agreements of the parties. If litigation is necessary to enforce this agreement, the prevailing party(s) shall receive costs and attorney’s fees. In the event that an IFTTA qualified mediator or arbitrator is unavailable, both parties agree to the submission of the dispute to a mutually acceptable dispute resolution service.

Changes to Terms

Travel Advisor Resource Center reserves the right, in its sole discretion, to change the Terms under which Travel Advisor Resource Center, www.traveladvisorresourcecenter.com, or related content is offered. The most current version of the Terms will supersede all previous versions. Travel Advisor Resource Center encourages you to periodically review the Terms to stay informed of our updated.
